Before a technician begins to work on any device, he or she is to be paid in the full amount in order for the work to begin. This is mandatory as we have had problems in getting paid in the pass and this helps to secure a good working relationship between the two parties "Client and Arwn4Hire("we / us")". If the work has not been completed we will setup a return date with the client, to complete the work at no extra charge to you "the Client" unless we "Arwn4Hire" has to perform any additional work. A technician will discuss any extra work to be performed before he or she begins to avoid issues with additional payment(s).
1.1 The Company provides website development services, including but not limited to website design, coding, and maintenance ("Services"). The specific scope of Services will be outlined in a separate agreement between you and the Company.
2.1 You are responsible for providing accurate and complete information to the Company for the development of your website. This includes content, branding guidelines, and any other materials necessary for the project.
2.2 You agree to cooperate with the Company throughout the development process and promptly respond to any requests for feedback or approval.
3.1 All website designs, code, graphics, and other intellectual property created by the Company during the course of providing the Services ("Deliverables") are owned by the Company until full payment is received.
3.2 Upon receipt of full payment, the Company grants you a non-exclusive, royalty-free license to use the Deliverables for your website. However, the Company retains the right to use the Deliverables for promotional purposes and in its portfolio.
4.1 You agree to pay the Company the fees specified in the agreement for the Services provided. Payment terms will be outlined in the agreement and may include upfront deposits, milestone payments, or other arrangements.
4.2 Payment is due within [2] days of receipt of invoice. Late payments may be subject to interest charges or suspension of Services until payment is received.
5.1 Either party may terminate the agreement for Services upon written notice if the other party breaches any material provision of the agreement and fails to remedy the breach within [number] days of receiving written notice.
6.1 To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with the Services.
7.1 Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of the project.
8.1 These Terms shall be governed by and construed in accordance with the laws of New York City, without regard to its conflict of law provisions.
